Dispute Resolution—Arbitration
Synopsis.
AIA Document C102–2015 is intended to allow multiple or cross-disciplinary parties to form a team to provide services necessary to submit a proposal, in response to a solicitation, for a shared opportunity project. C102–2015 is not limited to use within a single project delivery method and can be used for responses to requests for proposals, design competitions, design-build competitions or public/private partnerships.
C102 provides that one party will serve as the team manager and that the team manager will enter into separate teaming agreements with each of the team members. For use and execution of a document, see its instructions »
Purpose.
AIA Document C102–2015 is intended to allow multiple or cross-disciplinary parties to form a team to provide services necessary to submit a proposal, in response to a solicitation, for a shared opportunity project. C102–2015 is not limited to use within a single project delivery method and can be used for responses to requests for proposals, design competitions, design-build competitions or public/private partnerships.
C102 provides that one party will serve as the team manager and that the team manager will enter into separate teaming agreements with each of the team members. There could be one, or multiple, team members. Each would enter into a separate C102 with the team manager. The team members would not be contractually bound to one another. If the team is awarded the project, the team manager will contract directly with the owner for the project. Each team member has a separate agreement with the team manager for services or work to be performed on the project, the terms of which will have been negotiated in advance with an agreement for such services or work, which is made a part of C102 as Exhibit A. When the team manager enters into an agreement with the owner for the project, C102 terminates and the agreement attached as Exhibit A becomes effective.

Dispute Resolution—Arbitration.
Arbitration, utilizing fast track procedures, is mandatory under the terms of this agreement for resolution of claims and disputes arising out of this agreement. Arbitration is binding in most states and under the Federal Arbitration Act. In a minority of states, arbitration provisions relating to future disputes are not enforceable but the parties may agree to arbitrate after the dispute arises. Even in those states, under certain circumstances (for example, in a transaction involving interstate commerce), arbitration provisions may be enforceable under the Federal Arbitration Act.
