What is the purpose of AIA Document C102–2015, Standard Form of Teaming Agreement Between Team Manager and Team Member for the Purpose of Responding to a Solicitation and Pursuing a Project?
C102–2015 is intended to allow multiple or cross-disciplinary parties to form a team to provide services necessary to submit a proposal in response to a solicitation, for a shared opportunity project. C102 is not limited to use within a single project delivery method and can be used for responses to requests for proposals, design competitions, design-build competitions or public/private partnerships.
Can C102–2015 be used between a Team Manager and more than one team member?
No. C102 is only intended to be used between a Team Manager and a single team member. The Team Manager must execute separate teaming agreements with each team member.
On what types of projects is it appropriate to use C102?
C102 can be used on any project type where two or more parties intend to team up to pursue a project together and collaborating on the submission of a proposal in response to a solicitation. It is not intended for use on any specific project type. It can be used for responses to requests for proposals, design competitions, design-build competitions or public/private partnerships.
Who can serve as the Team Manager?
Any party can serve as the Team Manager, although it should be noted that the party that serves as the Team Manager will ultimately be responsible for submitting the proposal. Furthermore, if the Owner awards the project to the team, it will be the Team Manager that enters into the project agreement with the Owner.
If the Owner awards the Project to the Team, does C102 serve as the Agreement between the Team Member and Team Manager?
No. C102 terminates when the Owner awards the project to the team and upon the Team Manager’s execution of a project agreement with the Owner. If the Owner accepts the proposal and the Team Manager enters into an agreement with the Owner, Exhibit A becomes effective as the agreement between the Team Manager and Team Member for the performance of work or services for the project.
After the Team Manager enters into a project agreement with the Owner, are there any additional steps for AIA Document C102 Exhibit A to become effective?
No. The Project Agreement attached as Exhibit A automatically becomes effective when the Owner accepts the Proposal and the Team Manager enters into an agreement with the Owner.
Is the Team Manager required to use the Team Member on the project if the Owner awards the project to the team?
C102 assumes that, upon the Owner and Team Manager entering into a project agreement, the Team Manager and Team Member will automatically enter into a project agreement as well.
However in certain circumstances, the Owner may not find the team member acceptable, C102 allows the Team Manager to terminate it upon receipt of notice from the Owner that the team member is unacceptable.
C102 includes a provision for the parties to negotiate how the team member will be compensated for services rendered in the case of such a termination.
How are expenses associated with responding to the solicitation shared between the Team Manager and team member?
AIA Document C102 assumes that the team member and Team Manager will each be responsible for their own costs and expenses arising out of the response to the solicitation unless otherwise set forth in the Agreement.
Is the team member compensated for services rendered under C102?
Unless otherwise agreed, the team member is not compensated for services rendered until the Owner awards the project to the team. C102 includes a provision to establish how the team member will be compensated for services rendered in preparation of the proposal if the Owner accepts and awards the project to the team. C102 also includes provisions to establish how the team member will be compensated if the Owner does not accept the proposal but awards an honorarium or stipend to the team.
