ACD AI-Enabled Services Terms

You are receiving this notice because you have signed up to use ACD's AI-enabled Services, currently offered as a beta ("Beta Services"). Use of the Beta Services is subject to ACD's Terms of Use in addition to these terms (the "AI Terms"). If the Terms of Use and these AI Terms conflict, these AI Terms control. Capitalized terms not defined here have the meanings given in the Terms of Use. By accessing or using the Beta Services, you agree to these AI Terms on your own behalf and, if applicable, on behalf of your organization.

1. Not Legal Advice; No Attorney-Client Relationship. The Beta Services use generative artificial intelligence ("AI") to review, analyze, and summarize information. The Beta Services, and any output they generate ("Output"), are provided for informational purposes only. They do not constitute legal advice, do not create an attorney-client relationship, and are not a substitute for consultation with a licensed attorney. AI is not perfect and can make mistakes, including but not limited to, misreading documents, misstating information, omitting relevant considerations, or otherwise producing inaccurate, incomplete, or misleading Output. Further, AI may not have access to all relevant information. You must independently review and verify all Output, and should consult a qualified attorney (or other appropriately qualified professional) before relying on it or taking any action based on it. ACD makes no warranty regarding the accuracy, completeness, or suitability of any Output for your particular purpose, and disclaims all liability arising from your reliance on it.

2. Customer Input Data. Data or information you submit to the Beta Services ("Customer Input Data") is sent to ACD's AI vendor(s) solely to process your request, generate Output, and return that Output to you; vendors do not retain additional copies. ACD's vendors may not store or use Customer Input Data to train their underlying AI models, will not publish Customer Input Data, and may not access or use Customer Input Data or Output for any purpose other than providing the Beta Services.

3. License to Improve ACD's AI Models. Subject to Section 2 above, you grant ACD a non-exclusive, worldwide, royalty-free license to use, reproduce, and process Customer Input Data and Output for the purpose of training, tuning, informing, and teaching ACD's AI models and engines, in order to develop, deliver, and improve the Services. This license is limited to ACD and does not permit third-party AI vendors to use Customer Input Data to train their models, consistent with Section 2. ACD will handle Customer Input Data used for this purpose in accordance with ACD's Privacy Policy and applicable confidentiality obligations.

4. Content Representations; DMCA Release. You represent and warrant that you own, or have all necessary rights, licenses, and permissions in, any documents, data, or other content you submit to the Beta Services, and that your submission of that content, and ACD's use of it as described in these AI Terms, does not and will not infringe, misappropriate, or violate any third party's copyright or other intellectual property rights. You release ACD, its vendors, and their respective officers, employees, and agents from any and all claims, demands, losses, liabilities, and damages arising out of or relating to any actual or alleged copyright infringement claim, including any claim or takedown notice under the Digital Millennium Copyright Act, arising from Customer Input Data you submit or from ACD's permitted use of it under these AI Terms.

5. Beta Status. The Beta Services are made available on an "as-is" and "as-available" basis for evaluation purposes, without warranties of any kind, and may be modified, suspended, or discontinued at any time.

By using these services, you acknowledge that you have read and understood these AI Terms, including the disclaimers in Section 1, and agree to be bound by them.
