What is C305-2024?
AIA Contact Document C305–2024 is a standard form where a consultant can enter information regarding its professional qualifications. A requester may use AIA Contract Document C305–2024 as part of the selection and hiring process or as a final check on the consultant’s credentials before, or after, a contract has been signed. C305-2024 is intended to be an initial, and somewhat general, conveyance of information from a consultant to a requester. Under some circumstances, a requester may ask the consultant to provide a proposal with more detailed information as a step between sharing its qualifications and entering a contract. C305-2024 includes prompts where a consultant can enter information about its business structure, key personnel, design capabilities, honors and awards, project personnel and consultants, digital design tool and software capabilities, sustainability credentials, firm history, number of employees, professional licenses, and much more.
Can the C305-2024 be used with other AIA Contract Documents?
Yes. The C305–2024 is specifically coordinated with AIA Contract Document C304™–2024, Request for Consultant’s Qualifications. Additionally, many standard form consultant agreements can be used after, or before, the consultant completes C305-2024.
When should C305-2024 be used?
C305-2024 may be completed at several distinct stages. In many instances, a consultant, or multiple consultants, complete C305-2024 as part of an initial vetting or selection process, prior to the execution of a consultant agreement. However, in some cases, a requester will ask a consultant to complete C305-2024 immediately after executing a consultant agreement to document more specific information about the consultant.
C305-2024 requires disclosure of sensitive financial and disciplinary information. Will this information be held confidential by the party it is submitted to?
The standard form version of C305-2024 does not contain a confidentiality provision. However, if the parties intend for any of the information contained in the C305 to be held confidential, they can execute a separate confidentiality agreement.
Is C305-2024 a contract? Also, does it need to be signed by the requester?
C305-2024 is not a contract and does not need to be signed by the requester.
How can the consultant provide additional information, beyond what is requested in C305-2024?
The consultant can provide additional information by inserting information into Article 7 of C305-2024. Also, the consultant can reference attachments to the C305-2024 in Article 7. Such attachments could include a marketing brochure prepared by the consultant or photographs of projects that are representative of the consultant’s work.
