Synopsis.

AIA Document B105–2017 is a standard short form of agreement between owner and architect. B105–2017 is for use on a project that is modest in size and brief in duration. B105-2017 replaces B105-2007, Standard Form of Agreement Between Owner and Architect for a Residential or Small Commercial Project. For larger and more complex projects, other AIA owner/architect agreements are more suitable. AIA Documents B105–2017 and A105™–2017, Standard Short Form of Agreement Between Owner and Contractor, comprise the Small Projects family of documents. B105–2017 is intended for use with A105–2017, which it incorporates by reference. B105 is extremely abbreviated and is formatted more informally than other AIA agreements. Although AIA Documents A105 and B105 share some similarities with other AIA agreements, the Small Projects family should NOT be used with other AIA document families without careful side-by-side comparison of contents. For use and execution of a document, see its instructions  »

 

Purpose. 

AIA Document B105–2017 is an agreement between owner and architect that is intended for use on projects that are modest in size and brief in duration. For larger and more complex projects, other AIA owner-architect agreements are more suitable, such as AIA Document B104™–2017, Standard Abbreviated Form of Agreement Between Owner and Architect. For even larger or more complex projects, AIA owner-architect agreements B101™–2017 or B103™–2017 are appropriate.

 

B105–2017 and AIA Document A105–2017, Standard Short Form of Agreement Between Owner and Contractor, comprise the Small Projects family of documents. Within a document family, common definitions and parallel phrasing combine to form a consistent structure in support of all the major contractual relationships on the construction project. B105 adopts A105 by reference as it sets forth the Architect’s responsibilities during the Construction Phase.

 

Changes from the previous edition.

The following are some of the changes made to AIA Document B105–2007 in B105-2017. 

§ Article 1. The Architect’s standard of care is revised to be consistent with similar provisions in the AIA’s other Owner/Architect agreements. 

§ Article 3. Language is added providing the Owner a limited license to use the Architect’s Instruments of Service solely as a point of reference for maintaining, altering and adding to the Project. The Owner, however, as a result of its continued use of the Architect’s Instruments of Service without retaining the Architect, must agree to indemnify the Architect for the Owner use. 

§ Article 4. Language has been added indicating that the Agreement will terminate one year from the date of Substantial Completion, unless otherwise agreed.
